Using our Services
This Terms of Service agreement governs the relationship between ProofWorks LLC and the Client. By subscribing to our services, the Client agrees to be bound by the following terms and conditions.1. Scope of Service & Remote WorkflowProofWorks LLC operates as a remote-managed agency. We do not perform physical site visits. Our service includes the editing, hosting, and automation of testimonial materials based on content provided by the Client and their customers.
Capture Process: The Client is responsible for providing project photographs. Client customers will record testimonials via our provided remote systems.CRM Compatibility: While we strive for integration with major platforms, we do not guarantee 100% compatibility with every CRM.
Fallback Process: If technical incompatibility occurs, ProofWorks LLC will fulfill its duties via direct email or SMS communication to ensure the testimonial process remains uninterrupted.2. Ownership & Vesting of Assets
Status
Ownership RightsPre-Vesting (Before 2 payments)
All edited video and photographic assets remain the property of ProofWorks LLC. Cancellation results in forfeiture of all rights to edited assets and hosted pages.
Post-Vesting (After 2 payments)
Ownership of final edited assets transfers to the Client. High-resolution files will be delivered via email or cloud storage.Storage Policy: Delivered files remain available for download for sixty (60) days post-delivery. After 60 days, files are deleted and ProofWorks LLC is not responsible for recovery.
Exceptions: Google Reviews and other third-party platform reviews remain the property of the Client/Platform and are not subject to these vesting terms.3. Payments, Fees, & DisputesLate Payments: Subscriptions not settled within five (5) business days of the due date will be paused. A $25.00 Late Fee will be applied.
Cancellation: We require three (3) business days' notice prior to the next billing cycle. Hosted materials remain active until the end of the current paid period.
Dispute Fee: If a Client files a payment dispute that is ultimately rejected or declined, a $20.00 Administrative Fee will be billed to the Client.4. Review Liability & OutcomesProofWorks LLC provides a platform for soliciting customer feedback. A "Review" is defined as any customer response, regardless of sentiment. ProofWorks LLC is not liable for the content of customer feedback, nor for any reviews posted on public third-party platforms (e.g., Google, Yelp, Facebook), even if solicited through our service.5. Content Standards & SafetyRight of Refusal: ProofWorks LLC reserves the right to refuse service, editing, or hosting for content deemed illegal, defamatory, or in violation of third-party copyrights.Liability: Content liability rests with the Client. ProofWorks LLC is not responsible for claims arising from customer-generated content.Service Uptime: We strive for 100% uptime but are not liable for temporary interruptions caused by third-party hosting providers.

Hosting your "Wall of Love" and other testimonial assets.
Facilitating automated review solicitation via email or SMS.
Processing subscriptions and managing account support.
Improving our internal workflows and service quality.3. Data Processing & Third PartiesProofWorks LLC does not sell your personal data. We only share data with essential third-party processors to run our business, such as:

Active Subscriptions: Data is retained for the duration of your active subscription to ensure service continuity.
Post-Vesting Files: Once assets are delivered post-vesting, they are available for download for 60 days. After 60 days, these files are permanently deleted from our servers.
Canceled Accounts: Upon cancellation, hosted assets (including "Walls of Love") are deactivated at the end of the paid period. We reserve the right to delete all account data 90 days after cancellation.5. Rights of the UserYou and your customers have the right to:
Access and Portability: Request a copy of the personal data we hold.
Correction: Update inaccurate or incomplete information.
Erasure: Request the deletion of your data, subject to our 60-day storage and vesting policies.
Withdraw Consent: Opt-out of automated review solicitations at any time.6. Security MeasuresWe take appropriate security measures to prevent unauthorized access, disclosure, modification, or unauthorized destruction of data.
